Terms of Service

Effective date: September 9, 2026

These Terms of Service ("Terms") govern access to and use of Qual Kit, a software-as-a-service product operated by Beagle Ridge LLC, a Missouri limited liability company ("Beagle Ridge," "we," "us," or "our"). Qual Kit is not a separate legal entity.

By creating an account, accepting these Terms, or accessing or using the Service, you agree to these Terms. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "Customer" or "you" means that organization. If you lack such authority, you may not accept these Terms on the organization's behalf.

The Privacy Policy is incorporated into these Terms. If you do not agree to these Terms or the Privacy Policy, do not access or use the Service.

1. Definitions

"Customer Content" means information, materials, data, text, files, records, configurations, and other content submitted to or created in the Service by or for Customer.

"Documentation" means user guides and other documentation Beagle Ridge makes available for the Service.

"Organization" means the Customer workspace established in the Service.

"Service" means Qual Kit, including its software, features, Documentation, and related services that Beagle Ridge makes available to Customer.

"Subscription Term" means the period during which Customer may access the Service under an applicable subscription.

2. The Service

Qual Kit is a technology and documentation workspace intended to help Organizations document software-tool qualification work for safety-critical standards, including ISO 26262 and related standards packs. The Service may include projects, tools, methods, evidence, baselines, and exports.

The Service is not a certification service, regulatory approval, quality assessment, safety assessment, engineering service, legal service, or professional-advisor service. Beagle Ridge does not certify tools, issue regulatory approvals, or determine whether Customer satisfies any standard, audit, or legal requirement.

Customer is solely responsible for:

  • The accuracy, completeness, and legality of Customer Content;
  • Configuring and using the Service appropriately;
  • Reviewing exports and other outputs;
  • Maintaining appropriate backups and records;
  • Meeting applicable regulatory, contractual, quality, safety, privacy, and security requirements; and
  • Decisions made based on the Service or its outputs.

The Service does not create a partnership, joint venture, employment, franchise, fiduciary, or professional-advisor relationship.

3. Eligibility and Account Administration

The Service is intended for businesses and authorized individuals capable of entering binding contracts. Customer must provide accurate, current, and complete account information and keep that information updated.

Customer is responsible for:

  • Its accounts and credentials;
  • Administrators' authority and actions;
  • Inviting, removing, and managing members;
  • Assigning seats and preventing unauthorized access; and
  • All activity occurring through its Organization, except activity caused solely by Beagle Ridge's breach of these Terms.

Users must keep credentials confidential and promptly notify Beagle Ridge of suspected unauthorized access, credential compromise, or security incidents involving the Service.

Customer may not share individual accounts to avoid seat limits. Beagle Ridge may suspend or restrict an account or Organization where reasonably necessary to address security risks, suspected fraud, unlawful conduct, abuse, or a material violation of these Terms.

4. Customer Content

4.1 Ownership

As between the parties, Customer retains all rights in Customer Content. Customer grants Beagle Ridge a nonexclusive, worldwide, limited-term license to host, store, reproduce, process, transmit, display, and otherwise use Customer Content solely to:

  • Provide, maintain, secure, and support the Service;
  • Prevent fraud, abuse, and security threats;
  • Enforce these Terms;
  • Comply with law; and
  • Generate aggregated or de-identified information that does not identify Customer or an individual.

Beagle Ridge will not sell Customer Content or use identifiable Customer Content to train a general-purpose artificial-intelligence model without Customer's separate authorization.

4.2 Customer responsibilities

Customer represents and warrants that it has all rights, permissions, and legal bases necessary to provide Customer Content to Beagle Ridge and to authorize the activities described in these Terms.

Customer must not upload or use the Service to process unlawful content, malware, or personal information that is unrelated to the Service. Customer remains responsible for providing legally required notices and obtaining legally required consents.

4.3 Export and deletion

During the Subscription Term, Customer may export Customer Content using available Service functionality (including organization workspace JSON export for Organization administrators, and qualification exports). Following expiration or termination, Beagle Ridge will retain Customer Content for ninety (90) days solely to permit Customer to retrieve it, unless a longer period is required by law or agreed in writing. After that period, Beagle Ridge may delete Customer Content, subject to ordinary backup-retention cycles and legal-retention obligations.

Customer is responsible for exporting Customer Content before the applicable deletion deadline. Beagle Ridge has no obligation to restore or provide Customer Content after deletion.

5. Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other that reasonably should be understood to be confidential, including Customer Content, security information, product plans, pricing, business information, and technical information.

The receiving party will:

  • Use Confidential Information only to perform or exercise rights under these Terms;
  • Protect it using at least reasonable care; and
  • Disclose it only to employees, contractors, professional advisers, and service providers who need to know it and are bound by confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate:

  • Is or becomes public without breach;
  • Was already lawfully known;
  • Is received lawfully from a third party without a confidentiality duty; or
  • Is independently developed without use of the disclosing party's Confidential Information.

A receiving party may disclose Confidential Information when required by law, provided that it gives advance notice where legally permitted and reasonably cooperates with efforts to obtain confidential treatment.

These confidentiality obligations survive termination for three years, except that trade secrets remain protected for so long as they qualify as trade secrets under applicable law.

6. Subscriptions, Seats, and Standards Packs

The Service is offered under subscription plans, which may include seat-based pricing and optional standards packs. A seat is assigned to one individual user and may not be shared. Customer must maintain sufficient seats for its active users.

The price Customer pays is the amount displayed at checkout, on an order form, or in another written commercial arrangement accepted by Beagle Ridge. Public pricing may change, but a price change will not apply to a prepaid Subscription Term.

Standards packs may be offered as add-ons, upon request, or through manual enablement. Beagle Ridge may modify or discontinue a standards pack on reasonable notice, provided that it will not materially reduce a prepaid feature during the applicable prepaid term unless necessary for legal, security, or technical reasons.

7. Billing, Renewal, and Taxes

Subscriptions are billed through Stripe Billing. Stripe's terms govern Customer's relationship with Stripe regarding payment processing. Beagle Ridge does not store full payment-card numbers on Qual Kit servers.

Unless an order form states otherwise:

  • The initial annual term is billed in advance at the price shown at purchase.
  • Annual renewals are billed at 40% of the initial annual price for the same seat quantity and enabled standards packs, unless a negotiated Organization rate states otherwise.
  • Self-serve subscriptions are annual only; monthly self-serve billing is not offered.
  • Customer authorizes recurring charges until cancellation.
  • Customer may cancel through the applicable billing interface or by contacting Beagle Ridge.
  • Cancellation takes effect at the end of the then-current paid term.
  • Fees are nonrefundable and are not prorated, except as required by law or expressly agreed in writing.
  • Customer remains responsible for applicable taxes, excluding taxes based on Beagle Ridge's net income.
  • Non-payment or failed renewal results in immediate suspension of access to the Organization workspace (no default grace period). An operator-granted grace, if any, is arranged separately and is not a contractual entitlement.

Customer must pay undisputed amounts when due. Customer may not withhold payment because of a dispute concerning an unrelated amount.

8. Acceptable Use

Customer and its users may not:

  • Reverse engineer, decompile, or disassemble the Service except to the extent applicable law prohibits that restriction;
  • Probe, scan, or test the vulnerability of the Service or its infrastructure without written authorization;
  • Interfere with or disrupt the Service;
  • Circumvent security features, usage limits, or seat restrictions;
  • Upload malware or malicious code;
  • Use the Service to violate privacy, export-control, intellectual-property, or other applicable laws;
  • Use the Service to build or operate a competing service;
  • Misrepresent Service outputs as Beagle Ridge certification, regulatory approval, or professional advice; or
  • Use the Service in a manner that creates an unreasonable risk of death, personal injury, or property damage.

9. Third-Party Services and Subprocessors

The Service may interoperate with third-party services, including hosting, email delivery, authentication, and payment providers. Beagle Ridge does not use third-party advertising analytics on the Service. Third-party services may be subject to separate terms and privacy policies. Beagle Ridge is not responsible for third-party services that Customer elects to use or that operate outside Beagle Ridge's reasonable control.

Beagle Ridge may use contractors and subprocessors to provide the Service. Beagle Ridge remains responsible for their performance of obligations applicable to Beagle Ridge under these Terms.

10. Security and Privacy

Beagle Ridge will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, use, alteration, or disclosure.

Customer's use of the Service may involve personal information. The parties will comply with the Privacy Policy and any applicable data-processing or security addendum accepted by the parties. If a written data-processing addendum conflicts with these Terms regarding personal-information processing, the addendum controls.

Qual Kit is designed for software-tool qualification documentation (including for medical device and automotive standards). That documentation is not the same as patient medical records. Customer must not submit protected health information (PHI), payment-card data, sensitive personal information, or other regulated data into the Service unless Beagle Ridge has expressly agreed in writing to receive it.

11. Intellectual Property and Feedback

Beagle Ridge and its licensors own all rights in the Service, Documentation, software, interfaces, designs, trademarks, and related technology, excluding Customer Content. No rights are granted except as expressly stated in these Terms.

Customer grants Beagle Ridge a perpetual, irrevocable, worldwide, royalty-free license to use suggestions, ideas, recommendations, and other feedback concerning the Service without restriction or compensation.

12. Service Changes and Support

Beagle Ridge may modify, update, or improve the Service from time to time. Beagle Ridge will not materially reduce the core functionality of the Service during a prepaid Subscription Term except where necessary to address legal, security, or technical risks.

Unless otherwise agreed in writing, Beagle Ridge does not guarantee a particular service level, uptime percentage, response time, or support scope.

Beagle Ridge may provide maintenance, including scheduled maintenance, that temporarily affects availability. Beagle Ridge will use reasonable efforts to provide advance notice of scheduled maintenance when practicable.

13. Suspension and Termination

Beagle Ridge may suspend access immediately if reasonably necessary to:

  • Prevent a security incident or material harm;
  • Address unlawful conduct or a material breach;
  • Prevent abuse or fraud;
  • Respond to a legal requirement; or
  • Address nonpayment or failed renewal (immediate suspension as described in Section 7).

Beagle Ridge will limit any suspension to the affected users, Organization, or functionality where reasonably practicable.

Either party may terminate these Terms or an affected subscription if the other party materially breaches these Terms and fails to cure the breach within 30 days after written notice. Beagle Ridge may terminate immediately for a breach that cannot reasonably be cured, unlawful conduct, or insolvency-related events to the extent permitted by law.

Upon termination:

  • Customer's right to use the Service ends;
  • Customer must pay all amounts accrued through the effective termination date;
  • Sections that by their nature should survive will survive, including provisions concerning ownership, confidentiality, payment, disclaimers, limitations of liability, indemnification, and dispute resolution; and
  • Customer Content will be handled under Section 4.3.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, DOCUMENTATION, EXPORTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." BEAGLE RIDGE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BEAGLE RIDGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY EXPORT OR OTHER OUTPUT WILL SATISFY A PARTICULAR AUDIT, STANDARD, CONTRACTUAL REQUIREMENT, OR REGULATORY REQUIREMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAGLE RIDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO BEAGLE RIDGE FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

The foregoing limitations do not limit:

  • Customer's payment obligations;
  • A party's fraud, gross negligence, or willful misconduct;
  • Customer's indemnification obligations;
  • A party's breach of confidentiality; or
  • Liability that cannot legally be limited.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations apply to the fullest extent permitted by law.

16. Indemnification

Customer will defend, indemnify, and hold harmless Beagle Ridge and its officers, members, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:

  • Customer Content;
  • Customer's or its users' misuse of the Service;
  • Customer's violation of these Terms or applicable law; or
  • Customer's infringement or misappropriation of a third party's rights.

Beagle Ridge will promptly notify Customer of an indemnified claim. Customer may control the defense, provided that it may not settle a claim in a manner that admits liability by or imposes obligations on Beagle Ridge without Beagle Ridge's prior written consent. Beagle Ridge will reasonably cooperate at Customer's expense.

17. Changes to These Terms

Beagle Ridge may update these Terms by posting revised Terms and changing the effective date. For material changes affecting paying Customers, Beagle Ridge will provide reasonable advance notice to Organization administrators where practicable.

The revised Terms will apply prospectively. If the Service requires affirmative reacceptance, Customer must accept the revised Terms before continued use. Otherwise, continued use after the effective date constitutes acceptance.

18. Governing Law, Venue, and Injunctive Relief

These Terms are governed by Missouri law, without regard to conflict-of-law principles.

The state and federal courts located in Jackson County, Missouri will have exclusive jurisdiction and venue over disputes arising from or relating to these Terms, and each party consents to personal jurisdiction and venue in those courts. Beagle Ridge may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, Confidential Information, systems, or security.

19. General Terms

Neither party may assign these Terms without the other party's prior written consent, except that Beagle Ridge may assign them in connection with a merger, reorganization, sale of substantially all assets, or similar transaction. Any prohibited assignment is void.

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, telecommunications failures, governmental actions, or failures of third-party infrastructure, except that this provision does not excuse payment obligations.

These Terms, the Privacy Policy, applicable order forms, and incorporated addenda constitute the entire agreement concerning the Service and supersede prior discussions concerning that subject. If an order form conflicts with these Terms, the order form controls for the specific transaction.

If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A waiver must be written and applies only to the specific instance waived.

Electronic acceptance is binding. Notices concerning termination, material breach, or indemnification must be sent to the other party's designated legal or administrative contact. Notices to Beagle Ridge must be sent to the contact address below.
